TRU Show, Inc. is the entity that sponsors TRU Show - San Francisco. The foregoing contract terms and conditions have been established for the mutual benefit and protection of Exhibitors, Attendees, Embassy Suites, and TRU Show, Inc. This contract contains all the terms agreed to by the parties hereto, and no other agreement, oral or otherwise, regarding the subject matter of this contract shall be deemed to exist or bind any of the parties hereto. Each exhibitor agrees to abide by these terms and conditions. It is the responsibility of the Exhibitor to make all associates aware of the need to follow these same terms and conditions. 1) PAYMENT - Space assignments will not be made without payment in full. Any past due payments, penalties, or fines must be cleared before contract is accepted. 2) REFUND - Exhibitors who cancel will receive a partial refund of $400.00, if cancellation occurs over 30 days prior to check in date. All requests for cancellation must be in writing. Thereafter, if cancellation occurs, no part of the show fee is refundable. 3) NO SHOW - Any Exhibitor who fails to attend forfeits the entire show fee. 4) CANCELLATION - Should TRU Show - San Francisco be cancelled for any reason at any time, the limit for claim of damages and/or compensation by the Exhibitor shall be the return of the amount paid. If the length of the TRU Show - San Francisco is reduced for any reason at any time, no full or partial refunds will be made. TRU Show, Inc. recommends Exhibitors purchase event cancellation insurance from their insurance carrier to cover any other losses that may result from the cancellation of TRU Show - San Francisco. 5) RIGHT OF REFUSAL - Should TRU Show, Inc. deem it necessary for whatever reason to revoke a specific Exhibitor’s contract after payment has been made, the Exhibitor will be refunded the show fee with no other compensation being made. 6) SPACE ASSIGNMENTS - TRU Show, Inc. reserves the right to make the final determination of all space assignments in the best interest of TRU Show - San Francisco. 7) OFFENDERS - An Exhibitor, invitee, or guest will be asked to leave the area if any of the terms and conditions is violated and as an Exhibitor offender no refund will be given. An individual shall automatically be given offender status if he or she a) uses loud or offensive language, b) displays inappropriate behavior or unprofessional conduct, c) knowingly assists any third party who has not paid a participation fee and obtained approval to exhibit, d) leaves the show before it is over, and or e) fails to abide by the terms and conditions of TRU Show - San Francisco. A fine of $250 will be levied against any offender Exhibitor. 8) SHOW HOURS - Show hours are 9-6 each day. Exhibitor participation is expected the entire eighteen hours. Rooms must be open, set up and manned for business. Offender status will be given to any Exhibitor not abiding by this term and condition. 9) SUBLETTING - Any person representing product and/or services at TRU Show - San Francisco is required to pay the participation fee. There shall be no sharing of space unless TRU Show, Inc. has approved the arrangement. Offender status will be given to any Exhibitor not abiding by this term and condition. 10) NON-EXHIBITORS - Persons connected with non-exhibiting concerns are prohibited from any dealing, exhibiting, or soliciting during TRU Show - San Francisco. If TRU Show, Inc. determines that an Exhibitor has misrepresented their product and/or service or finds the Exhibitor or an agent of the Exhibitor dealing, exhibiting, or soliciting, the Exhibitor will be evicted from TRU Show - San Francisco and given offender status. 11) ADVERTISING & PROMOTION - Restricted to Exhibitor’s suite. All other forms of advertising/promotion must be approved by TRU Show, Inc. 12) EVICTION - Should an Exhibitor be evicted, TRU Show, Inc., at the expense of the Exhibitor, shall pack and ship the exhibit contents to the Exhibitor and no refund or other compensation will be made. Additionally, the evicted Exhibitor will be given offender status and a fine of $250 will be levied. The evicted Exhibitor is liable for all hotel charges by Embassy Suites San Francisco Waterfront. 13) DAMAGE - No displays shall be posted, tacked, nailed, taped, or otherwise attached to the walls, ceilings, windows, doors, or furniture of the Embassy Suites. If damage does occur due to a violation of this term and condition, Exhibitor is liable for all charges incurred by Embassy Suites for repair. 14) EXHIBIT SET-UP-Exhibit set-up is after 4:00 p.m. the day prior to the Show. All set-up must be completed prior to the opening of the Show. 15) EXHIBIT CLEAN-UP-All Exhibitor displays, materials, and product left in the space will be discarded or packed and shipped to the Exhibitor at the discretion of TRU Show, Inc. or Embassy Suites and all associated charges will be at the Exhibitor’s expense. 16) HOLD HARMLESS-TRU Show, Inc. shall not be responsible for any illness, injury, loss, or damage that may occur to the Exhibitor, the Exhibitor’s employees or independent contractors, and/or property from any cause whatsoever or which may be sustained by any person watching, observing, participating, or otherwise engaged in any demonstration or exhibit of the Exhibitor unless such injury, loss, or damage is caused by the active negligence or willful act of TRU Show, Inc. Exhibitors and exhibitor’s contractors and insurers will not subrogate against TRU Show, Inc., its officers, agents, employees, or any other entity providing services for TRU Show - San Francisco for theft of, loss of or damage to Exhibitor’s or Exhibitor’s contractors’ property while in transit to, within, or in transit from the Embassy Suites. The Exhibitor agrees to defend, indemnify, and hold TRU Show, Inc., its officers, agents, employees, or any other entity providing services for TRU Show - San Francisco harmless against any and all claims, lawsuits, judgments, costs, and expenses for injury (including death), property damage, or other harm for which recovery of damages is sought that may arise out of or be occasioned by the Exhibitor’s participation unless such damage is caused by the active negligence or willful act of TRU Show, Inc. 17) LISTINGS - The Exhibitor agrees to hold TRU Show, Inc. harmless for any errors or omissions in directory information. 18) GOVERNING LAW - This Agreement, the rights and obligations of the parties hereto, and any claims or disputes thereto, will be governed by and considered in accordance with the laws of the State of California. 19) ATTORNEY FEES & COSTS - If any action at law or in equity, including an action for declaratory relief, is brought to enforce or interpret the provisions of this Agreement, the prevailing party will be entitled to reasonable attorneys’ fees. 20) UNFORESEEN CIRCUMSTANCES - Exhibitor agrees to abide by decisions of TRU Show, Inc. concerning all matters pertaining to the administration and success of TRU Show - San Francisco which are not specifically stated. 21) ADDITIONAL TERMS AND CONDITIONS - Any matters not specifically covered herein are subject to decision by TRU Show, Inc. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings between them. This Agreement shall not be modified, amended, supplemented, or otherwise changed, except by a writing executed by all parties hereto. I have read and agree to abide by TRU Show - San Francisco Terms and Conditions. I understand that a fine of $250 will be assessed if I fail to abide by this Agreement. I am aware that no space will be held or assigned unless payment and agreement to above terms and conditions accompanies contract.
